1. Agreement to Terms

Welcome to Wishlee! These Terms of Use ("Terms") govern your access to and use of the Wishlee website, application, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that:

• You are at least 13 years of age
• You have the legal capacity to enter into these Terms
• You will comply with these Terms and all applicable laws and regulations
• You have not been previously suspended or removed from the Service

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate and current
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that violate these Terms or provide false information.

4. Service Description

Wishlee provides a platform for creating and managing wishlists and organizing gift exchanges. Our Service includes:

• Creating and sharing wishlists for various occasions (Christmas, birthdays, weddings, etc.)
• Organizing gift exchange groups with automated matching
• Tracking claimed items and gift preferences
• Email notifications for gift assignments and updates
• Collaboration features for managing shared wishlists

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

5. Subscription Plans and Payments

5.1 Free and Paid Plans

Wishlee offers both free and paid subscription plans. Free accounts have limited features as described on our pricing page. Paid plans provide additional features and increased limits.

5.2 One-Time Payments

Our paid plans use a one-time payment model. The Starter plan provides access for one year, while the Pro Lifetime plan provides permanent access. All payments are processed securely through Stripe.

5.3 Refund Policy

Due to the digital nature of our service, all sales are final. However, if you experience technical issues preventing you from using the Service, please contact us within 14 days of purchase, and we will work with you to resolve the issue or provide a refund at our discretion.

5.4 Price Changes

We reserve the right to change our pricing at any time. Price changes will not affect existing one-time purchases. Users with Lifetime access will retain their access regardless of future price changes.

6. User Content and Conduct

6.1 Your Content

You retain ownership of any content you create on the Service, including wishlists, item descriptions, and communications. By posting content, you grant Wishlee a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your content solely for the purpose of operating and improving the Service.

6.2 Prohibited Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Post content that is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene
• Impersonate any person or entity
• Use the Service for spam, phishing, or any fraudulent activity
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers
• Use automated tools (bots, scrapers) without our permission
• Collect or harvest personal information about other users
• Use the Service for any commercial purpose without our authorization

7. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by Wishlee and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software without our express written permission. You may not reverse engineer or attempt to extract the source code of the Service.

The Wishlee name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Wishlee. You may not use such marks without our prior written permission.

8. Third-Party Links and Services

Our Service may contain links to third-party websites, products, or services (such as product links in wishlists). These third-party sites are not under our control, and we are not responsible for their content, privacy policies, or practices.

We use third-party service providers (including Clerk for authentication, Supabase for data storage, Stripe for payments, and Resend for emails) to facilitate our Service. These providers have their own terms and privacy policies.

Your use of third-party services is at your own risk, and you should review their terms and policies before engaging with them.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WISHLEE DISCLAIMS ALL WARRANTIES, INCLUDING:

• Merchantability, fitness for a particular purpose, and non-infringement
• That the Service will be uninterrupted, secure, or error-free
• That defects will be corrected
• The accuracy, reliability, or completeness of any content

You use the Service at your own risk. We do not guarantee that the Service will meet your requirements or be suitable for your purposes.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WISHLEE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access to or use of our servers
• Interruption or cessation of the Service
• Bugs, viruses, or other harmful code
• Errors or omissions in any content
• Loss or damage resulting from user content or third-party conduct

Our total liability for all claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months before the claim arose, or $100, whichever is greater.

11. Indemnification

You agree to defend, indemnify, and hold harmless Wishlee, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your use of or inability to use the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or conduct on the Service

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• At your request

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by contacting us or using the account deletion feature in your settings.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Dispute Resolution

13.1 Informal Resolution

If you have any dispute with us, you agree to first contact us and attempt to resolve the dispute informally. We will work with you in good faith to reach a resolution.

13.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Wishlee operates, without regard to its conflict of law provisions.

13.3 Arbitration

If we cannot resolve a dispute informally, any legal action arising from or related to these Terms or the Service shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for infringement of intellectual property rights or violation of confidentiality obligations.

14. General Provisions

14.1 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by updating the "Last Updated" date and, where appropriate, by email. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

14.5 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wishlee regarding the Service and supersede all prior agreements and understandings.
